1. Introduction

Welcome to You Can Shine LLC ("Company", "we", "our", "us"), a California limited liability company. These Terms of Service ("Terms") govern your use of our website (www.ycsusa.com) and all services we offer, including but not limited to:

• Tech Camp Programs: Summer technology camps ("You Can Shine Academy") held on the Stanford University campus.
• College Admissions Consulting: Study abroad and college admissions planning services.
• Statistics & Data Consulting: Statistical modeling, data analysis, and AI solution consulting for businesses, researchers, and individuals.

These services are collectively referred to as "Services." By accessing our website, engaging our consulting services, or enrolling a student in any program, you ("Client", "Parent", "Guardian", or "you") agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Eligibility

Tech Camp Programs: Our camp programs are designed for students aged 10–19. All enrollments must be completed by a parent or legal guardian who is at least 18 years of age. By enrolling a student, you represent that you are the student's parent or legal guardian and have the legal authority to agree to these Terms on the student's behalf.

Consulting Services: Admissions consulting and data consulting services are available to individuals and organizations. Clients must be at least 18 years of age, or represented by a parent/guardian if a minor.

3. Fees and Payment

3.1 General: All fees are quoted in United States Dollars (USD). Prices are subject to change; however, confirmed engagements will be honored at the price quoted at the time of agreement.

3.2 Payment Methods: We accept online credit card payments processed through Stripe, Inc. We do not store your full credit card information on our servers. Wire transfers are also accepted — for wire transfer details, please contact us by email at support@ycsusa.com.

3.3 Tech Camp Programs:

• One-Week Camp: Tuition is $8,800 USD (without housing) or $12,800 USD (with housing). A non-refundable deposit of $2,000 USD is required to secure a spot.
• Two-Week Academy: Tuition is $18,800 USD (without housing) or $28,800 USD (with housing). A non-refundable deposit of $3,000 USD is required to secure a spot.
• Deposit Policy: Deposits are completely non-refundable under any circumstances, including cancellation, withdrawal, visa denial, or dismissal.
• Balance Due: The remaining balance (full tuition minus deposit) must be paid in full no later than 30 days before the program start date.
• Late Payment: If the remaining balance is not received by the due date, we reserve the right to release the student's spot to the waitlist without further notice.

3.4 Consulting Services:

• Admissions consulting and data consulting fees are determined by the scope of engagement and agreed upon in writing (email or signed agreement) before services begin.
• Consulting fees are non-refundable once work has commenced, unless otherwise specified in the engagement agreement.

4. Cancellation and Refund Policy

4.1 Tech Camp Programs:

• Deposit: The deposit ($2,000 for one-week camp; $3,000 for two-week academy) is completely non-refundable under any and all circumstances, including but not limited to: voluntary cancellation, schedule conflicts, visa denial, illness, dismissal, or any other reason.
• Full Balance Due: The remaining balance must be paid in full no later than 30 days before the program start date. If the balance is not received by the due date, the enrollment will be forfeited and the deposit will not be refunded.
• Deposit Transfer: If a student wishes to switch to a different course or session before the balance due date, the deposit may be applied toward the new enrollment. Deposit transfers are subject to availability and must be arranged by contacting us at support@ycsusa.com.
• No Refunds After Payment: Once the full tuition has been paid, no refunds will be issued for any reason, including voluntary withdrawal, dismissal for conduct violations, visa issues, or failure to attend.

4.2 Consulting Services:

• Cancellation before services begin: Full refund minus any administrative fees outlined in the engagement agreement.
• Cancellation after services begin: Fees for completed work are non-refundable. Refunds for remaining work are at the Company's sole discretion.

4.3 Force Majeure: If any Service is cancelled by the Company due to events beyond our reasonable control (natural disasters, pandemics, government restrictions, etc.), we will offer a full credit toward a future engagement or a refund minus any non-recoverable costs already incurred.

5. Consulting Services — Scope and Deliverables

5.1 Admissions Consulting: Our admissions consulting services include guidance on school selection, essay review, interview preparation, and application strategy. We do not guarantee admission to any specific institution. Admissions decisions are made solely by the respective schools and are outside our control.

5.2 Data Consulting: Our data consulting services include statistical analysis, data modeling, visualization, and related deliverables as agreed in the engagement scope. The Client is responsible for providing accurate and complete data. We are not liable for conclusions or decisions made based on our analysis. All deliverables remain the intellectual property of the Client upon full payment, unless otherwise agreed.

5.3 Confidentiality: We treat all client information, data, and project details as confidential. We will not disclose client data to third parties without consent, except as required by law. Clients agree not to share our proprietary methodologies, templates, or internal materials with third parties.

6. Photo, Video, and Media Release

During tech camp programs, the Company may photograph, video-record, or otherwise capture images of students for educational, promotional, and operational purposes, including but not limited to: sharing daily updates with parents via WeChat groups, posting on our website and social media, and inclusion in future marketing materials. By enrolling your child, you grant the Company a non-exclusive, royalty-free, worldwide license to use such images. If you do not consent to your child's image being used in public marketing materials, you must notify us in writing at support@ycsusa.com before the program start date.

7. Medical Authorization and Health (Tech Camp Only)

• Medical Information: Parents must disclose all relevant medical conditions, allergies, dietary restrictions, and medications at the time of enrollment.
• Emergency Medical Authorization: By enrolling your child, you authorize the Company and its staff to seek and consent to emergency medical treatment for your child in the event that we are unable to reach you in a timely manner. You agree to bear all costs of such medical treatment.
• Travel Insurance: Comprehensive travel and medical insurance is mandatory for all camp participants. Parents are responsible for obtaining appropriate coverage (minimum USD $100,000 medical coverage recommended). Proof of insurance must be submitted no later than 14 days before the program start date.
• COVID-19 and Infectious Disease: The Company follows all applicable public health guidelines. We reserve the right to require testing, vaccination, or quarantine measures as mandated by local health authorities.

8. Safety, Conduct, and Dismissal (Tech Camp Only)

• Students are expected to follow the Company's Code of Conduct, all campus rules, and the instructions of staff at all times.
• The following may result in immediate dismissal without refund: physical violence, bullying, harassment, possession of drugs or alcohol, theft, destruction of property, repeated violation of rules, or any behavior that endangers the student or others.
• In the event of dismissal, parents are responsible for arranging and paying for the student's return transportation.

9. Assumption of Risk and Liability Waiver

Tech Camp: Participation in camp programs involves inherent risks, including but not limited to: physical activities, travel, exposure to illness, and interaction with other participants. By enrolling your child, you acknowledge these risks.

All Services: The Company, its officers, employees, and agents shall not be liable for any injury, loss, or damage arising from the use of our Services, except in cases of gross negligence or willful misconduct by the Company. The Company coordinates with third-party providers for transportation, accommodation, and campus facilities (for camp) and is not liable for acts or omissions of these third parties.

Limitation of Liability: To the maximum extent permitted by California law, the Company's total aggregate liability for any claim arising from or related to our Services shall not exceed the total fees paid by you for the specific Service in question.

10. Indemnification

You agree to indemnify, defend, and hold harmless You Can Shine LLC, its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your or your child's participation in our Services; (b) any breach of these Terms by you; or (c) any negligent or wrongful act by you or your child.

11. Visa and Immigration Disclaimer

The Company may provide general guidance on visa application procedures and supporting documents as a courtesy. However, we are not licensed immigration attorneys and do not provide legal advice on immigration matters. Visa approval is solely at the discretion of the U.S. consulate or embassy. The Company is not responsible for any visa denial or delay.

12. Stanford University Disclaimer

You Can Shine LLC is an independent company. We are not affiliated with, endorsed by, or sponsored by Stanford University or any of its departments. Programs are independently operated by You Can Shine LLC. References to Stanford University are for the purpose of identifying the program location only.

13. Intellectual Property

All content on our website — including text, graphics, logos, images, and materials — is the property of You Can Shine LLC or its content suppliers and is protected by U.S. and international copyright laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

14. Dispute Resolution

• Informal Resolution: Before filing any formal claim, you agree to contact us at support@ycsusa.com and attempt to resolve the dispute informally for at least 30 days.
• Binding Arbitration: Any dispute that cannot be resolved informally shall be resolved by binding arbitration administered by JAMS in Santa Clara County, California, in accordance with its Streamlined Arbitration Rules. The arbitration shall be conducted in English, and judgment on the award may be entered in any court of competent jurisdiction.
• Class Action Waiver: You agree that any dispute resolution will be conducted on an individual basis and not as a class action or representative proceeding.
• Small Claims Exception: Either party may bring an individual action in small claims court in Santa Clara County, California.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be filed in the state or federal courts located in Santa Clara County, California.

16. Modifications

We reserve the right to update or modify these Terms at any time. The "Last Updated" date at the top of this page will be revised accordingly. Continued use of our website or Services after changes are posted constitutes acceptance of the revised Terms. For active clients and enrolled families, material changes will be communicated via email.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
